Terms & Conditions
Last updated: August 15, 2026. These Terms govern the purchase and use of services provided by R&J Agency, a trade name operated by Dufour Logistics, registered in the Netherlands.
Acceptance of these Terms
By accepting a proposal, approving an order, making a payment, or otherwise engaging R&J Agency to provide services, you ("Client," "you," or "your") agree to these Terms.
These Terms are intended primarily for business customers purchasing services for commercial purposes.
1. About R&J Agency
R&J Agency provides website design, website development, advertising creative services, and optional website hosting, maintenance, and support services to businesses.

2. Services
R&J Agency may provide services including:
- Website design and development
- Website redesign
- Website setup and launch
- Website hosting
- Website maintenance
- Website support
- Advertising creatives
- Digital design services
- Other digital services agreed upon with the Client
The exact scope, price, deliverables, and other project-specific requirements may be specified in a proposal, invoice, order confirmation, or other written agreement.
If a project-specific written agreement conflicts with these Terms, the project-specific agreement will take precedence for that particular project.
3. Website Projects
Our Professional Website service starts at $649 USD.
This is a starting price and not a guarantee that every website project will cost $649.
The final price may depend on the scope, complexity, functionality, and requirements of the project.
Additional charges may apply for requirements such as:
- Additional pages
- E-commerce functionality
- Advanced integrations
- Booking or reservation functionality
- Custom functionality
- Extensive content creation
- Advanced forms
- Additional design work
- Significant revisions
- Third-party software
- Other work outside the agreed project scope
Material additional charges will be communicated to the Client before the relevant additional work is performed.
4. Free Website Previews
R&J Agency may provide prospective Clients with a free website preview, concept, mockup, or demonstration.
The purpose of a Free Website Preview is to demonstrate a possible creative direction for the Client's business.
A preview may contain:
- Placeholder content
- Publicly available business information
- Publicly available logos or branding
- Example images
- Temporary copy
- Demonstration functionality
A Free Website Preview may differ from the final website.
Requesting or receiving a preview does not create an obligation to purchase our services.
Unless otherwise agreed in writing, previews and concepts created before purchase remain the property of R&J Agency and may not be copied, published, reproduced, transferred, or commercially used without our permission.
5. Project Scope
Before work begins, R&J Agency and the Client may agree on the general scope of the project.
The Client is responsible for communicating its requirements before and during the project.
Requests that materially exceed the originally agreed scope may be considered additional work and may result in additional charges.
Where appropriate, we will communicate additional charges before performing the relevant additional work.
6. Client Responsibilities
The Client agrees to provide information, materials, access, and cooperation reasonably required to complete the project.
This may include:
- Logos
- Brand guidelines
- Business information
- Contact information
- Images
- Videos
- Product or service information
- Written content
- Testimonials
- Legal information
- Account access
- Feedback
- Approvals
The Client is responsible for ensuring that materials provided to R&J Agency may legally be used.
The Client represents that it owns, licenses, or otherwise has permission to use any logos, trademarks, photographs, videos, text, and other materials supplied to us.
R&J Agency is not responsible for third-party claims resulting from materials supplied or specifically requested by the Client.
7. Project Timelines
Any delivery date or project timeline communicated by R&J Agency is an estimate unless explicitly guaranteed in a written agreement.
Project timelines may depend on the Client providing information, content, access, feedback, and approvals in a timely manner.
Delays caused by the Client, third-party providers, technical problems, or circumstances outside our reasonable control may extend the project timeline.
8. Revisions
Reasonable revisions may be included within the agreed project scope.
A revision means an adjustment to previously agreed work.
A revision does not necessarily include:
- An entirely new website concept
- A substantial redesign after approval
- Additional pages
- New functionality
- Additional integrations
- Work outside the agreed scope
Requests outside the original project scope may be quoted separately.
9. Client Approval
Before launch or final delivery, the Client is responsible for reviewing the website and confirming that the project is approved.
The Client should review, where applicable:
- Text
- Images
- Contact information
- Pricing
- Products and services
- Links
- Forms
- Business information
- Legal information
- Website functionality
- Overall presentation
Once the Client approves the website for launch, the Client accepts responsibility for errors or inaccuracies that were visible and reasonably discoverable during the approval process.
R&J Agency will make reasonable efforts to correct technical defects caused directly by our work.
10. Payment
Prices are quoted in the currency stated in the applicable proposal or invoice, generally USD for U.S. customers.
Payment may be accepted through:
- Bank transfer
- Approved payment service providers
- Other payment methods agreed by R&J Agency
The payment schedule applicable to a project will be stated in the relevant proposal, invoice, or order confirmation.
R&J Agency may require full or partial payment before beginning work.
We reserve the right to pause work, withhold final delivery, or delay launch while an invoice is overdue.
The Client is responsible for bank fees, intermediary fees, currency conversion charges, or other payment charges imposed by the Client's own bank or payment provider unless otherwise agreed.
11. Cancellation of Website Projects
A Client may request cancellation of a website project by contacting R&J Agency.
If cancellation occurs before work has begun, any refund entitlement will depend on the circumstances and applicable agreement.
If work has already begun, payments already made may be retained to cover:
- Work already performed
- Design work
- Development work
- Project preparation
- Resources allocated to the project
- Non-refundable third-party expenses
Where the value of completed work exceeds the amount already paid, R&J Agency may invoice the Client for work completed up to the cancellation date where permitted by the applicable agreement and law.
12. Website Care Is Optional
Website Care is an optional add-on.
Purchasing a website from R&J Agency does not require the Client to purchase Website Care.
A Client may purchase a website without entering into an ongoing hosting, maintenance, or support plan.
Website Care is available for websites created by R&J Agency and may include:
- Premium hosting
- Security
- Backups
- Maintenance
- Technical updates
- Support
- Minor content changes
The exact services included depend on the selected plan and applicable agreement.
Website Care is not generally offered as a standalone service for websites created by unrelated third parties unless R&J Agency explicitly agrees otherwise.
13. Annual Website Care
R&J Agency may offer an Annual Website Care plan at:
$199 USD per month
This plan requires a 12-month commitment.
By selecting the Annual Website Care plan, the Client agrees to pay the applicable monthly fee for the agreed 12-month term.
The payment schedule and method will be stated in the applicable proposal, invoice, or order documentation.
Any renewal terms following the initial 12-month period will be communicated in the applicable agreement.
14. Flexible Website Care
R&J Agency may offer Flexible Website Care at:
$249 USD per month
This plan is offered on a month-to-month basis unless otherwise agreed.
The Client may cancel the Flexible Website Care plan before the next billing period to prevent future renewal.
Cancellation does not normally entitle the Client to a refund for a service period that has already begun.
15. Ending Website Care
When Website Care ends, services included in that plan may also end.
Depending on the plan, this may include:
- Hosting
- Backups
- Maintenance
- Security services
- Technical updates
- Support
- Minor content changes
If hosting is included in Website Care, the Client is responsible for arranging alternative hosting after cancellation.
Where technically possible and reasonably requested, R&J Agency will cooperate with the Client in transferring or migrating the website.
Migration work, technical assistance, third-party fees, domain work, or other services outside the Website Care plan may be charged separately.
16. Advertising Creatives
R&J Agency may provide advertising creative services starting from $149 USD.
Final pricing depends on the number, format, complexity, and scope of the requested creatives.
Advertising creative services may include:
- Advertising images
- Graphics
- Social media advertising assets
- Digital advertising layouts
- Other agreed creative materials
Unless explicitly agreed otherwise, Advertising Creatives do not include:
- Advertising spend
- Media buying
- Advertising account management
- Campaign management
- Guaranteed leads
- Guaranteed sales
- Guaranteed return on advertising spend
17. No Guaranteed Business Results
R&J Agency provides professional digital services but cannot guarantee specific commercial results.
We do not guarantee:
- Increased sales
- Increased revenue
- A specific number of leads
- Website traffic
- Search engine rankings
- Conversion rates
- Advertising performance
- Business growth
- Return on investment
Business results depend on numerous factors outside R&J Agency's control.
18. Domains
Unless otherwise agreed, the Client should own and control its own domain name.
R&J Agency may assist the Client with:
- Domain configuration
- DNS settings
- Domain connection
- Technical setup
Unless explicitly included in an agreement, the Client remains responsible for domain registration and renewal fees.
R&J Agency is not responsible for loss or interruption of a domain resulting from the Client's failure to renew the domain, maintain accurate registration details, protect account credentials, or comply with a registrar's requirements.
19. Hosting and Third-Party Technology
Websites may depend on third-party technology and infrastructure.
This may include:
- Hosting providers
- Website platforms
- Domain registrars
- Cloud infrastructure
- Content delivery networks
- APIs
- Software libraries
- Payment providers
- Plugins
- Integrations
- Other external services
R&J Agency does not control independent third-party providers and cannot guarantee uninterrupted availability of their services.
R&J Agency is not responsible for downtime, service interruptions, discontinued features, third-party security incidents, pricing changes, or technical failures outside our reasonable control.
20. Ownership of the Completed Website
Unless otherwise agreed in writing, once all amounts due for the website project have been paid, the Client receives the applicable rights to the final custom website deliverables created specifically for the Client, to the extent those rights are owned and transferable by R&J Agency.
This does not transfer ownership of third-party or pre-existing materials, including:
- Third-party software
- Website platforms
- Open-source software
- Licensed fonts
- Licensed images
- Stock photography
- Third-party libraries
- Hosting infrastructure
- External integrations
- Pre-existing R&J Agency templates
- Reusable components
- Internal tools
- Systems
- Processes
- Know-how
These materials remain subject to their respective ownership rights and licenses.
21. Website Handover
If a Client purchases a website without Website Care, or later ends Website Care, R&J Agency will provide or facilitate reasonable website handover where technically possible and consistent with the technology used.
The exact handover method depends on the platform and technology used to create the website.
Certain platforms, hosting providers, integrations, or licensed technologies may impose technical restrictions on transfer or migration.
R&J Agency does not guarantee that every website can be transferred to every third-party hosting provider without modification or migration work.
Additional migration or technical work may be quoted separately.
22. Development Tools and Artificial Intelligence
R&J Agency may use various professional tools and technologies to provide its services efficiently.
These may include:
- Development platforms
- Website builders
- Templates
- Software frameworks
- Automation tools
- Artificial intelligence tools
- Design software
- Third-party libraries
- Other development technologies
R&J Agency determines the internal production methods and tools used to deliver the agreed result unless specific technical requirements have been agreed in writing.
The Client purchases the agreed deliverables and services rather than a particular internal production method.
23. Portfolio and Marketing Use
Unless the Client requests otherwise in writing, R&J Agency may display completed public-facing work for portfolio and marketing purposes.
This may include use on:
- The R&J Agency website
- Portfolio pages
- Social media
- Sales presentations
- Marketing materials
We will not intentionally disclose confidential information when displaying completed work.
Clients may request in writing that their project not be displayed.
24. Intellectual Property Provided by the Client
Logos, trademarks, photographs, text, videos, data, and other materials supplied by the Client remain the property of the Client or their respective owners.
The Client grants R&J Agency permission to use these materials as reasonably necessary to perform the requested services.
25. Confidentiality
Both R&J Agency and the Client may receive confidential or commercially sensitive information.
Each party agrees to take reasonable measures to protect confidential information and not disclose it unnecessarily.
Information may be shared where necessary with employees, contractors, or service providers involved in providing the services, provided appropriate protections are in place where required.
This obligation does not apply to information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.
26. Website Security
R&J Agency takes reasonable measures to develop and maintain websites securely.
However, no website, hosting environment, or online system can be guaranteed to be completely secure.
R&J Agency cannot guarantee that a website will never experience:
- Unauthorized access
- Hacking attempts
- Malware
- Third-party vulnerabilities
- Data loss
- Downtime
- Zero-day vulnerabilities
- Other cybersecurity incidents
Clients who do not purchase Website Care are responsible for arranging their own ongoing hosting, security, backups, maintenance, and updates following handover unless otherwise agreed.
27. Limitation of Liability
To the maximum extent permitted by applicable law, R&J Agency will not be liable for indirect, incidental, special, consequential, or punitive damages.
This includes, where legally permitted:
- Lost profits
- Lost revenue
- Lost business opportunities
- Lost data
- Loss of goodwill
- Business interruption
To the maximum extent permitted by applicable law, R&J Agency's total aggregate liability arising from a particular service or project will not exceed the amount actually paid by the Client to R&J Agency for the service giving rise to the claim.
Nothing in these Terms excludes or limits liability where exclusion or limitation would be prohibited by applicable law.
28. Client Indemnification
To the extent permitted by applicable law, the Client agrees to indemnify and hold R&J Agency harmless from third-party claims arising from:
- Content supplied by the Client
- Intellectual property supplied by the Client
- Illegal or misleading information supplied by the Client
- The Client's products or services
- The Client's unlawful use of the website
- Material breaches of these Terms by the Client
This provision does not apply to the extent a claim results from R&J Agency's own unlawful conduct or other liability that cannot legally be excluded.
29. Force Majeure
R&J Agency is not responsible for delays or failures caused by circumstances outside our reasonable control.
These may include:
- Natural disasters
- Power failures
- Internet outages
- Cyber incidents
- Government actions
- War
- Civil disturbances
- Labor disruptions
- Third-party platform outages
- Hosting failures
- Other similar events outside our reasonable control
30. Suspension and Termination
R&J Agency may suspend or terminate services where a Client:
- Fails to make required payments
- Materially breaches these Terms
- Uses our services for unlawful purposes
- Creates unreasonable legal or security risks
- Engages in abusive or threatening conduct toward our staff or contractors
Where reasonably appropriate, R&J Agency will provide notice and an opportunity to resolve the issue before termination.
31. Changes to These Terms
R&J Agency may update these Terms periodically to reflect changes to our services, business practices, or legal requirements.
Updates will apply prospectively unless otherwise required by law or agreed with the Client.
For an existing paid project or fixed-term agreement, the version accepted when the agreement was entered into will generally continue to apply for that agreement unless otherwise agreed or legally required.
32. Governing Law and Jurisdiction
Unless mandatory applicable law provides otherwise, these Terms and agreements entered into with R&J Agency are governed by the laws of the Netherlands.
Any dispute arising from these Terms or services provided by R&J Agency will be submitted to the competent courts in the Netherlands, subject to mandatory jurisdictional rules that cannot legally be excluded.
33. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.
34. Entire Agreement
These Terms, together with any applicable:
- Proposal
- Quote
- Invoice
- Order confirmation
- Service agreement
- Other written project-specific agreement
constitute the agreement between R&J Agency and the Client regarding the relevant services.
